These state restrictions/etc on corporate powers are for all corporations who operate in the state regardless of what state they were originally incorporated in. So AFACT any corporation can vote in delaware, not just delaware based ones.
That just means they’re desperate for votes ;)
A lot of companies are Delaware companies despite not being in Delaware.
Likely due to state corporate taxes.
